### Who you are
– Juris Doctor (JD) degree from an accredited law school and admission to the bar
– Minimum of 10 years of experience in commercial law, with a strong background in contracts, negotiations, and compliance
– Proven track record of managing complex commercial transactions and providing strategic legal advice to senior leadership
– Expertise in drafting, reviewing, and negotiating a wide range of commercial agreements, including vendor, customer, and partnership contracts
– Strong understanding of regulatory requirements and the ability to ensure compliance with relevant laws and regulations
– Excellent communication and interpersonal skills, with the ability to build relationships and influence stakeholders at all levels
– Demonstrated ability to manage a team of legal professionals and collaborate effectively with other departments
– Experience in handling mergers and acquisitions, including due diligence, transaction structuring, and integration
– High ethical standards and a commitment to maintaining confidentiality and integrity in all legal matters

### What the job involves
– The Head of Commercial Counsel will be a key member of our leadership team and will be responsible for overseeing all commercial legal matters.
– This role involves drafting, reviewing, and negotiating a wide range of agreements, including commercial, licensing, customer, employment, vendor, and partnership agreements.
– You will work closely with various teams from sales, finance, HR, and product to manage legal risks and ensure compliance with relevant regulations
– Lead the drafting, review, and negotiation of high-impact customer, licensing, and partnership agreements, aligning them with overarching business goals while mitigating risks
– Develop and manage an efficient contract life cycle to balance strategic business objectives with effective risk management
– Serve as a key advisor to Sales and Finance leadership, providing strategic guidance on complex commercial and financial operations
– Obtain and maintain a comprehensive understanding of the company’s products (current and emerging) and become a subject matter expert and advisor on relevant regulatory regimes
– Oversee the development and execution of a comprehensive compliance strategy, ensuring alignment with industry standards and regulations, including AI, privacy, security, and frameworks such as SOC 2 and GDPR
– Deliver training programs to internal stakeholders and establish policies and best practices for compliance
– Partner closely with technical, product, internal, and commercial teams to proactively manage risks, identify legal issues, and drive decision-making
– Provide strategic support during fundraising efforts, assist with due diligence, build data rooms, and ensure financing documents are accurate and complete
